1Acceptance of Terms

By accessing or using the Dynarius website (dynarius.com) and services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use our website or services.

2Description of Services

Dynarius provides private, AI-powered legacy preservation, family intelligence management, and governance architecture services. Services are provided under individual client agreements that supplement these Terms.

3Eligibility

Dynarius services are available to individuals and entities with legal capacity to enter into binding agreements. By engaging our services, you represent that you have the authority to bind the entity on whose behalf you are acting.

4Confidentiality

All interactions between Dynarius and its clients are confidential. The existence of a client relationship, the nature of services provided, and all information exchanged are protected under mutual non-disclosure obligations. Specific confidentiality terms are set forth in the Mutual Non-Disclosure Agreement executed prior to the commencement of services.

5Intellectual Property

5.1 Dynarius IP

All technology, software, methodologies, frameworks, and documentation developed by Dynarius remain the intellectual property of Dynarius. Clients receive a non-exclusive, non-transferable license to use the Dynarius platform for the duration of their service agreement.

5.2 Client IP

All client data, including interview recordings, documents, family information, and AI models trained on client-specific data, remain the exclusive property of the client. Dynarius claims no ownership of or rights to client data.

6Data Security

Dynarius implements Zero Knowledge Architecture for all client data. Client data is encrypted with client-owned keys. Dynarius cannot access, view, or reconstruct client data in decrypted form. Full details are provided in the Security Whitepaper and Data Processing Agreement.

7Service Availability

Dynarius targets 99.9% uptime for its platform, excluding planned maintenance windows. Dynarius shall use commercially reasonable efforts to provide advance notice of planned maintenance. Dynarius is not liable for service interruptions caused by factors beyond its reasonable control, including force majeure events.

8Limitation of Liability

To the maximum extent permitted by law, Dynarius's total aggregate liability for any claims arising out of or relating to these Terms or the services shall not exceed the total fees paid by the client in the twelve (12) months preceding the claim. Dynarius shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits or data.

9Indemnification

Each Party agrees to indemnify and hold the other Party harmless from any claims, damages, and expenses (including reasonable legal fees) arising from a material breach of these Terms or any negligent or wrongful act by the indemnifying Party.

10Termination

Either Party may terminate the service agreement with 90 days' written notice. Upon termination:

  • The client's data remains encrypted and accessible to the client for a period of 180 days following termination.
  • After 180 days, the client may request data export or cryptographic erasure.
  • Dynarius's confidentiality obligations survive termination indefinitely.

11Governing Law

These Terms shall be governed by the laws of jurisdiction pending. Disputes shall be resolved through binding arbitration under the rules of arbitration body pending, unless the Parties agree otherwise in writing.

12Amendments

Dynarius may amend these Terms with 30 days' prior written notice to clients. Continued use of the services after the effective date of the amendment constitutes acceptance. Material changes to Terms governing active client relationships require mutual written agreement.

13Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
